Terms of Use

1. Acceptance of Terms
These Terms of Use (“Terms”) are a legally binding agreement between you (an individual or legal entity, “you”, “Customer”) and Center UX (“Center UX”, “we”, “us”), governing your access to and use of the Center UX digital product platform, including any mobile applications, APIs, and related services (collectively, the “Service”).
By creating an account, clicking “Get started”, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
2. Description of Service
Center UX is a digital product strategy and design platform that allows organisations to build digital products, create feedback forms and surveys, collect and analyse responses, manage contacts and outreach campaigns, and view analytics and AI-powered insight reports. The specific features available to you depend on the subscription plan you have selected.
We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.
3. Eligibility
You must be at least 18 years of age to create an account. If you are under 18, you may only use the Service with the involvement and consent of a parent or legal guardian. The Service is not directed at children under 16 years of age.
By using the Service, you represent that you meet the eligibility requirements above and that all information you provide is accurate and complete.
4. Account Registration and Security
To access most features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Keep your account credentials confidential and not share them with any third party.
- Promptly notify us at [email protected] if you suspect any unauthorised use of your account.
- Be responsible for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that contain false information or that we believe have been compromised.
5. Acceptable Use
You agree to use the Service only for lawful purposes. You must not:
- Violate any applicable Finnish, EU, or international law or regulation, including the GDPR and the Finnish Data Protection Act.
- Distribute, publish, or transmit unsolicited bulk communications (spam), including survey invitations sent without valid consent.
- Upload, transmit, or store content that is unlawful, defamatory, fraudulent, obscene, or violates third-party intellectual property rights.
- Attempt to gain unauthorised access to, disrupt, or damage the Service or its underlying infrastructure.
- Reverse engineer, decompile, or disassemble any part of the Service, except as permitted by applicable law.
- Use the Service to collect sensitive personal data (special categories under GDPR Art. 9) without appropriate safeguards and lawful basis.
- Resell or sublicense access to the Service without our prior written consent.
We may investigate and take appropriate action, including suspending or terminating your account, if we believe you have violated this section.
6. Intellectual Property
Our IP.
Center UX and its licensors own all right, title, and interest in the Service, including all software, designs, graphics, text, and other content we create. These Terms do not grant you any rights to our trademarks, logos, or brand elements.
Your content.
You retain ownership of all projects, questions, responses, and other content you create or upload (“Customer Content”). You grant us a limited, non-exclusive, royalty-free licence to host, process, and display Customer Content solely to provide the Service to you.
Feedback.
If you provide us with suggestions or feedback about the Service, we may use it without restriction or compensation to you.
7. Data Processing
To the extent you process personal data of third parties (for example, project respondents) using the Service, you act as the data controller and we act as your data processor under GDPR. Our processing of such data is governed by our Privacy Policy and, where required by GDPR Article 28, a Data Processing Agreement (“DPA”). Enterprise customers may request a signed DPA by contacting us at [email protected].
You are responsible for ensuring you have a valid legal basis to collect and process personal data through the Service, and for complying with all applicable data protection laws, including the GDPR.
8. Payment and Subscriptions
Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to pay the applicable fees as described on our Pricing page. Unless otherwise stated:
- Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
- All prices are in euros (EUR) and exclude VAT. VAT will be added where applicable under EU VAT rules.
- You may cancel your subscription at any time; access continues until the end of the current paid period. We do not provide refunds for partial periods, except as required by Finnish consumer protection law.
- We reserve the right to change pricing with at least 30 days' written notice. Continued use of the Service after the effective date of a price change constitutes acceptance.
9. Consumer Rights (EU / Finland)
If you are a consumer within the meaning of Finnish consumer protection law (Kuluttajansuojalaki 38/1978), you have additional statutory rights that these Terms do not limit. In particular:
- Right of withdrawal. For digital content purchased online, you have a 14-day right of withdrawal under Directive 2011/83/EU, unless you have expressly consented to performance commencing immediately and acknowledged that the right of withdrawal is thereby waived.
- Out-of-court dispute resolution. Finnish consumers may refer disputes to the Consumer Disputes Board (Kuluttajariitalautakunta, kuluttajariita.fi) or the European Online Dispute Resolution platform (ec.europa.eu/consumers/odr).
10. Limitation of Liability
To the maximum extent permitted by Finnish law and EU consumer protection regulation:
- The Service is provided “as is” and “as available”. We make no warranty, express or implied, regarding uninterrupted availability, fitness for a particular purpose, or freedom from errors.
- In no event will Center UX be liable for indirect, incidental, special, consequential, or punitive damages arising out of your use or inability to use the Service.
- Our total aggregate liability to you for any claim arising from or related to these Terms or the Service shall not exceed the fees you paid to us in the 12 months preceding the claim.
Nothing in these Terms excludes or limits liability that cannot be limited by law, including liability for death or personal injury caused by our negligence, or for fraudulent misrepresentation.
11. Termination
You may close your account at any time by following the instructions in your account settings or by contacting us. We may suspend or terminate your access to the Service immediately if you breach these Terms or if we are required to do so by law.
Upon termination, your right to use the Service ceases immediately. We will retain and then delete your data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will survive.
12. Changes to These Terms
We may modify these Terms from time to time. We will provide at least 14 days' notice of material changes by email or a prominent notice in the Service. Your continued use of the Service after the effective date of modified Terms constitutes your acceptance. If you do not accept the modified Terms, you must stop using the Service.
13. Governing Law and Disputes
These Terms are governed by the laws of Finland, without regard to conflict-of-law principles. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
Any dispute arising out of or in connection with these Terms shall be finally settled by the Helsinki District Court (Helsingin käräjäoikeus) as the court of first instance, unless mandatory consumer protection rules require otherwise. Consumer users may also bring proceedings in the courts of their country of domicile under applicable EU law.
14. General Provisions
- Entire agreement. These Terms, together with the Privacy Policy and any applicable DPA, constitute the entire agreement between you and Center UX regarding the Service.
- Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect.
- No waiver. Failure by either party to enforce any provision does not constitute a waiver of future enforcement.
- Language. These Terms are provided in English. In case of any discrepancy between translated versions, the English version prevails.
